Terms and Conditions

1. Selective Distribution
Avoda Golf has implemented a selective distribution strategy to maintain the integrity, performance, and brand position of its products. Distribution of Avoda Golf products will be granted only to authorised dealers who meet our quality standards, values, and customer experience expectations.

2. Dealer Qualification
The Dealer represents and warrants that it has the relevant experience, retail infrastructure, and financial capability to effectively promote and sell Avoda Golf products within its market.

3. Sales Effort & Display
Dealer agrees to use its best efforts to promote and sell Avoda Golf products within its approved trading area, and to stock and display products in a manner that represents the Avoda Golf brand appropriately.

4. Marketing Program Participation
Participation in Avoda Golf-sponsored marketing programs will be subject to specific terms and conditions outlined by Avoda Golf and may change from time to time.

5. Credit & Payment Terms
a. Dealer agrees to comply with Avoda Golf’s credit and payment terms in effect at the time orders are submitted.

b. Avoda Golf reserves the right to withhold or cancel orders if the Dealer is not in good standing.

c. Dealer agrees to provide financial information as reasonably requested.

d. Dealer authorises Avoda Golf to verify credit history and perform financial checks.

e. In the event of payment default, the Dealer shall reimburse Avoda Golf for all collection-related costs, including legal fees.

6. Termination & Product Return
In the event of termination of this agreement, Dealer agrees to return any unsold product to Avoda Golf at a repurchase price not exceeding the original invoice cost.

7. Product Warranty
a. All Avoda Golf products are covered by a limited warranty for the original retail consumer if purchased from an Authorised Dealer.

b. Warranty claims must be accompanied by proof of purchase and installation through authorised channels.

c. Dealers are also protected under a limited warranty for products purchased through Avoda Golf.

8. MSRP Policy
a. Avoda Golf provides Manufacturer’s Suggested Retail Prices (MSRP) for all products. While adherence to MSRP is not mandatory, we encourage dealers to follow these guidelines to support consistent brand value and market positioning.

b. MSRP will be published in Avoda Golf’s dealer catalog and updated as needed.

c. Dealers may sell products below or above MSRP at their discretion, provided such pricing does not misrepresent the brand or devalue the customer experience.

9. Internet Sales Policy
Sales of Avoda Golf products through the internet are strictly prohibited unless otherwise agreed to in writing by Avoda Golf. This restriction applies to all digital sales platforms, including but not limited to eBay, Amazon, and the Dealer’s own business website.

10. Tour Product Notice
Any products supplied by Avoda Golf for professional use (e.g., Tour players or mobile tour vans) remain property of Avoda Golf until installed or used. Unauthorised resale of such items is strictly prohibited and considered unlawful.

11. Unauthorised Sales of Tour Product
Resale or purchase of unused tour-issued products from unauthorised sources, including but not limited to players, caddies, or third parties, constitutes a violation of this agreement and may be referred for legal action.

12. No Waiver of Rights
Failure by Avoda Golf to enforce any provision of this agreement shall not constitute a waiver of its rights in respect to any future breach or enforcement.

13. Transshipment Prohibited
Dealers may not sell or transfer Avoda Golf products to any other retailer, distributor, or third party without prior written consent from Avoda Golf.

14. Term & Termination
This agreement becomes effective upon acceptance of the Authorised Dealer Application and may be terminated at any time by Avoda Golf, with or without cause.

15. Component Supply Terms

a) Assembly & Use
Avoda Components may not be sold separately. Components are to be assembled by the Customer into finished golf clubs (“Golf Clubs”) for sale directly to end-user consumers. Components are to be used for custom-built Golf Clubs and not as general retail inventory. Resale of Avoda Components or finished Golf Clubs made from them via online marketplaces or third-party websites, without prior written consent from Avoda Golf, is strictly prohibited and constitutes a breach of these Terms.

b) Assembly Responsibility
Customer is solely responsible for the proper assembly of all Golf Clubs using Avoda Components. This includes ensuring use of appropriate tools, adhesives, and build practices. Customer must ensure all employees or subcontractors involved in assembly are trained and qualified.

c) Indemnity
Customer agrees to indemnify, defend, and hold harmless Avoda Golf, its affiliates, officers, employees, and agents from any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
i. Improper assembly, handling, or sale of any Golf Clubs made using Avoda Components
ii. Use of any non-Avoda components
iii. Breach of these Terms by the Customer or their agents.

d) Insurance
Customer shall maintain, at their sole cost, valid and sufficient product liability insurance and any other relevant policies required to cover risks associated with the use, modification, assembly, and resale of Avoda Components. Proof of coverage must be provided to Avoda Golf upon request. Avoda Golf will not be named as an additional insured.

e) Warranty & Returns
Customer is responsible for all warranty claims and returns related to:
i. Non-Avoda components
ii. Improper or unauthorised modifications to Avoda Components
iii. Assembly errors.
Only products purchased directly from Avoda Golf and built using approved processes may be covered under Avoda’s limited warranty for end users.

f) Product Integrity
Customer may not remove or alter any Avoda markings, serial numbers, or identification features from the Components. Any modification of Components outside of approved tolerances will void all warranties.

g) Program Participation
Participation in Avoda’s Component Supply Program is by invitation and subject to ongoing review. Avoda Golf may modify or discontinue a Customer’s participation at any time, with or without cause.
